CORPORATE HISTORY

The company started as a "random business idea". Over cups of
coffee in McDonalds and in AIM, incubators of entrepreneurial ideas, Menchie
Aragon and Josef Gohoc, discussed, brain-stormed, and put more "flesh"
into the idea. Until a business plan was developed which was then presented
to Mrs. Gohoc, Josef's mother, who readily provided the mobilization fund
        to start the business venture.

In September 6, 1996, the company was registered in the Philippines Securities
and Exchange Commission with the corporate name: ASIAN BUSINESS SOLUTIONS,
INC.; reflecting its Asian roots and it's mandate: to provide total business
solutions. Drawing from the academic, professional and business background
of Menchie Aragon, the founding company president, the initial business
focus of the company became, Information Technology, without discounting
        opportunities in other business areas.

The company was organized with an initial manpower complement of eight
and commercial operations started in January 1997 with the booking of
several system development projects. Other projects came and the manpower
complement grew, with mostly IT professionals providing the backbone of
        the organization.

Since then, the company launched aggressive business development and product
development programs. Industry and technology linkages were likewise pursued
to establish ABSI's presence in the market. The company organized it's
Business Units namely, Insurance Systems Group; Enterprise Document Management
Solutions Group and Special Project Group. Corporate Support Group was
also organized to provide HR, Administrative, Finance, and Accounting
Services, as well as IT Resources Management and Customer Service to support
        the growing concern of ABSI.
